Commercial Business/Real Estate

Commercial Business Law

At Valsangiacomo, Detora & McQuesten, P.C., our attorneys provide a wide variety of services to our business clients, including

  • assisting in the selection of the type of organizational entity under which to operate,
  • reviewing and preparing all types of business agreements,
  • advising clients on the sale and purchase of businesses and business interests,
  • obtaining financing and funding for business operations,
  • tax planning,
  • counseling clients on employee relations, and
  • facilitating business dissolution.

The form of business chosen for a business entity potentially affects every aspect of its operations. Our attorneys assist in the formation of business entities, including determining whether a corporation, limited partnership, limited liability company, joint venture, general partnership, or other legal structure is appropriate for a particular business venture. In connection with the initial phases of its business, our attorneys counsel clients and prepare agreements relating to such matters as start up requirements and licensing, shareholder and owner relationships, executive employment, employee versus independent contractor classifications and employee incentive plans.

We provide ongoing counseling relating to aspects of the operation of a business enterprise, including officer and director liability, corporate formalities required to maintain shareholder protection from liability, warranty matters and tax structuring and planning.

Real Estate

In our real estate practice, we advise commercial and residential clients in all types of real property proceedings and transactions in central and northern Vermont. Our real estate representation includes real estate purchases and sales, title examinations, title insurance, closings, 1031 exchanges, construction, management, leases, zoning, refinancing, mortgages and foreclosures, and quiet title actions. Our lawyers assist our clients in all aspects of the transaction, from structuring and negotiating a real estate deal to resolving subsequent disputes, if necessary.

Although we emphasize communication and negotiation in resolving conflicts, litigation is sometimes the only practical means of protecting our clients' interests. In addition to transactional real estate representation, our lawyers also assist clients in real estate litigation, handling cases such as the resolution of construction disputes and the resolution of homeowner association disputes. Our goal is to offer our real estate clients, large or small, the broadest available range of legal services.
